Terms and Conditions as of 1 January 2025

These terms and conditions apply to all order confirmations and agreements that The Nanny Agency offers and enters with customers regarding private childcare/babysitting. "Private childcare/babysitting" referred to as “Childcare” under these conditions is defined as the specific task of the customer covered by the order confirmation in question. In these terms and conditions, the customer in question is referred to as the “Customer” and the babysitter employed by The Nanny Agency is referred to as the “Babysitter”.

1) Order confirmation:

The order confirmation must include the start date and – if applicable - end date, working time including meeting time and whether it is a day, evening or night shift, a description of the work/tasks, the place of work including addresses, the Customer's name and the agreed price. In connection with the order confirmation, the Customer’s consent must be obtained for the Babysitter to be entitled to take pictures, take the Customer's children on trips out of the house including taking them by public transport or give the Customer's children medicines etc.

The agreement or order confirmation is effective and valid for the period specified in the agreement or order confirmation.

If a period of a Childcare is extended or the terms and conditions is changed, a new order confirmation

must be prepared. If agreements regarding additional shifts are being made between a Babysitter and

a Customer, The Nanny Agency must always be informed of such agreement before it enters into force.

2) Terms of payment: Please refer to the prices under the different services we provide.

Hourly rate – DKK 313

Between 00:00-07:00- DKK 500

Agency fee: The agency fee is based on how many hours a week/month and for how long you decide

to make a contract, as well as how much admin time is spent on the assignment. The fee is a one-off

payment on the first invoice.

All prices are quoted as per hour and including VAT.

Payment for babysitting delivered by The Nanny Agency is in Denmark currently qualifying for

deduction of labour costs for certain household services carried out in your home (in Danish

“håndværkerfradrag”). Please remember to report the deduction in the annual tax statement if you

would like to claim such tax deduction. In the year 2025 you can deduct up to DKK 17.500kr for such

household services.

Invoicing is per started half an hour.

Net payment – in cash (invoice sent by e-mail after a shift.)

Deposit via MobilePay or a bank transfer to the following account: 4201110505 Reg: 3409

For late payment, interest is calculated at 2 % per month.

Billing will be done every 30 days. The Customer must pay within 8 days from the billing date.

3) Cancellation:

Cancellation up to 12 hours before the agreed meeting time for the Babysitter: Can be done free of

charge. Later cancellation: Normal hourly rate is invoiced for the agreed working hours.

4) Cancellation or modification of the agreed shift after the babysitter has attended work:

If the agreed working hours are cancelled or shortened, the normal hourly rate is invoiced for the

working hours confirmed previous to the booking.

5) Extension of shift:

If the agreed working hours are extended the customer will be invoiced for the extended hours

6) Agreements between the Customer and the Babysitter for additional shifts bypassing The Nanny

Agency:

If the Customer wishes to directly hire or make use of an Babysitter who has provided Childcare for

the Customer via The Nanny Agency and thereby bypassing The Nanny Agency, the Customer

undertakes to contact The Nanny Agency before any agreement of the Customer’s use of the

Babysitter outside The Nanny Agency enters into force. This agreement can first be made after the

nanny has worked for the family for a year. Buyout agency fee will be charged accordingly and upon

discussion.

7) Transport/driving during the Childcare:

If it is agreed between the Customer and The Nanny Agency that transportation is a part of the

Childcare and transportation is performed with use of the Babysitter’s car, the Customer will be

invoiced the tax-free travel allowance stated by the Danish Tax Authorities (SKAT).

8) Working conditions of the Babysitter:

The Customer must ensure that the work is carried out in sound conditions both in relation to access

to toilet conditions, but also in terms of safety, including in relation to any Covid 19 regulation and

according to other rules which the Customer must comply with.

9) Contact info between the Customer and the Babysitter:

The Nanny Agency supports the Customer why the Customer can easily and smoothly get in touch

with The Nanny Agency.

The Customer has the power of instruction in relation to the Babysitter, and the Babysitter is subject

to the Customer's supervision and management. The Nanny Agency provides the Babysitter's private

mobile number to the Customer and the Customer's mobile number to the Babysitter for contact

during the shift.

10) Booking of fixed ongoing Childcare

In the case of a fixed ongoing Childcare, the Customer must sign the agreed contract, which must be

submitted by e-mail to The Nanny Agency before the first invoice is due.

11) The babysitter:

The Nanny Agency would always strive to find the best match between the Customer's wishes and The

Nanny Agency's babysitters.

The Nanny Agency shall provide childcare services to the Customer, meaning one or more selected

babysitters employed by The Nanny Agency are made available to the Customerin order to work under

the Client's instructions and under the Customer's control and with a commitment for the employee.

The babysitters are made available to the Customer based on The Nanny Agency's knowledge of the

qualifications, skills and competences of the employees concerned. It is assumed that the Customer is

an individual without a CVR number, and not a company.

12) Replacement or change of Babysitter:

The Nanny Agency is entitled to replace the Babysitter, e.g. due to holiday, illness, severance, or similar

external circumstances. Any replacement must not incur additional costs for the Customer.

13) The Nanny Agency's policy on smoking, alcohol, and drugs:

The Nanny Agency provides its services professionally and with the utmost care. The Babysitter is not

allowed to smoke (including e-cigarettes), consume alcohol, or use drugs during a shift.

The Nanny Agency shall ensure that the services agreed are always provided in compliance with

applicable law.

14) Insurance and liability:

The Nanny Agency's statutory occupational injury insurance includes employees’ work injuries when

the Babysitter is at work for the Customer, as the Customer must ensure that the work is carried out

under sound conditions.

The Nanny Agency strives for that all information in all respects about the Babysitter is correct and

complete. If, contrary to expectations, the Babysitter has provided incorrect and incomplete

information, The Nanny Agency shall not be liable for any consequences as a result hereof.

The general rules of Danish law in relation to loss and damages apply.

The Babysitter is covered by The Nanny Agency's professional liability insurance. The Nanny Agency is

not responsible for any loss or damage caused by the interruption or cancellation of a shift for any

reason.

The Customershall notify The Nanny Agency in writing if the Customer believes that The Nanny Agency

is in breach of its obligations or does not comply with this agreement immediately after such breach

has been established. The Nanny Agency's liability may never exceed the sum of the remuneration

paid by the Customer in accordance with the order confirmation on which such a claim is based.

Compensation for loss of profits, business, revenue, goodwill, etc. and indirect or consequential loss

and damages of any nature cannot be claimed. The above restrictions do not apply where otherwise

follows from mandatory rules of applicable law.

In case of force majeure, the obligations of both parties under the agreement shall be suspended for

the duration of the force majeure situation, to the extent that a party's fulfilment of the obligations is

prevented by the force majeure situation. Force majeure covers matters of a particularly qualified

nature (e.g. pandemics) which are beyond the control of the party and which the party should not

have taken into account prior to the conclusion of the agreement, nor should the agreement have

avoided or been overcome after the conclusion of the agreement.

15) Certificate of criminal record:

The Nanny Agency obtains in accordance with the regulation hereof a certificate of criminal record

and a certificate of criminal record in relation to abuse of children for the Babysitter. The records must

be without any remarks. Further the Nanny Agency obtains per the Customer's request a negative

Covid-19 certificate for the Babysitter.

16) The Babysitter:

The Nanny Agency is entitled to make replacement of the Babysitter, e.g. due to holiday, illness,

resignation, or similar external circumstances. Any replacement must not incur additional costs for the

Customer.

17) Professional secrecy:

Both parties shall be bound by the confidentiality in relation to The Nanny Agency's affairs, the

Babysitter’s, and the Customer's affairs.

18) Personal data:

The Nanny Agency is the data controller for the processing of personal data that we have received

In connection with the Customer relationship we have with you, we collect and process the

following personal data about you and from you:

1. Name

2. Mail address

3. Phone number

4. Post address

We process your data as part of the performance of the agreement we have with you in

accordance with Article 6(1)(b) of the Data Protection Regulation.

We only use your information in order to get in touch with you to fulfill our part of the

agreement.

The Nanny Agency does not process any sensitive information about you.

In certain cases, personal data about you is disclosed to relevant business partners who, in

agreement with us, process personal data on our behalf and on instructions from us.

Our data is stored both inside and outside the EU/EEA and data processing agreements have

been concluded in accordance with the rules thereof.

The Nanny Agency stores information about you on the company's IT systems, including

Outlook, Icloud.

Only the relevant Babysitters who need to be able to process your personal data have access

to it in our systems.

We will store your personal data for up to 5 years after the termination of the contractual

relationship.

The Nanny Agency has taken the necessary technical and organisational security measures to

protect the personal data we process.

In connection with the processing of your personal data by The Nanny Agency, you have the

following rights:

– The right to access what personal data The Nanny Agency processes about you.

– Right to correct erroneous information.

– Right to have the processing of data that is no longer relevant to the employment or

where the basis of the processing is no longer present, including if your consent is

revoked.

– Right to object to unwarranted processing

– Right to complain to the Danish Data Protection Agency (www.datatilsynet.dk).

19) Amendments to the agreement, choice of law, jurisdiction, etc.

Any amendment and addition to these general terms and conditions shall, including oral

confirmations, be confirmed in writing to be binding.

The agreement is governed by Danish law and any dispute relating to the agreement must be settled

in accordance with Danish law.

In the case of disputes between the parties concerning the agreement, the parties shall seek to enter

negotiations with a positive, co-operative, and responsible attitude with a view to resolving the

dispute. If the parties cannot find a solution within 30 days, each party may, in its sole discretion, bring

legal proceedings before the ordinary courts. Legal action must be brought before the court of The

Nanny Agency.
